"Phil" Coulson was a former Director of S.H.I.E.L.D., before that one of its best agents and Nick Fury's right-hand man for many important missions. He served as the primary operative in the Avengers Initiative following a Skrull Invasion on Earth in the 1990s, which led to the surfacing of Captain Marvel.
Mack (Henry Simmons) is now the director of S.H.I.E.L.D., May is still kicking ass, and Daisy (Chloe Bennet) and Simmons (Elizabeth Henstridge) are out in deep space looking for Fitz, who's in cryostasis.
S.H.I.E.L.D. is featured in the 2012 film The Avengers. Nick Fury, Phil Coulson, Natasha Romanoff, Jasper Sitwell, and Clint Barton appear as well as S.H.I.E.L.D. Deputy Director Maria Hill (portrayed by Cobie Smulders). A substantial part of the film takes place within the S.H.I.E.L.D. Helicarrier.

Nick Fury is no longer the director. Since Captain America:Winter Soldier, SHIELD has been an underground organization. During this time Fury was on his own. He went deep underground so he could go after Hydra and made Phil Coulson director.

The Bombing of the Vienna International Centre was a terrorist attack on a United Nations ceremony in Austria, orchestrated by Helmut Zemo in order to locate Bucky Barnes in his campaign to divide and destroy the Avengers. It resulted in the death of 12 people including T'Chaka, the King of Wakanda.
Nick Fury is out. He's not a part of SHIELD anymore. When Coulson died and was brought back he was "officially" dead, but still registered as a SHIELD agent for those who were in on the secret, like Fury and Maria Hill. He still took orders, received equipment, went out on missions, etc.
In the comics, Fury lost his eye after complications from a Nazi grenade blast and in an explosion during the Gulf War. A third Fury, his secret son in the comics with the same name, had his eye cut out.

In Agents of S.H.I.E.L.D., Coulson is revealed to be alive. He was brought back using the T.A.H.I.T.I project, which was meant to bring a dead Avenger back to life using a drug derived from an ancient Kree corpse.
Nick Fury is shot and “killed” around the midway mark, only to later reveal that he just pulled a Gordon-in-The Dark Knight and faked his death. No one really dies in Marvel movies, especially when they're played by Samuel L. Jackson.
Black Widow and Hawkeye, as top-level field operatives, were most likely level 7. Captain America, as a field commander, is a level 8 (based on Winter Soldier). Those three are the only ones who were actual Agents of S.H.I.E.L.D, the other three would have had temporary clearances.
